Terms of Service

Welcome to Kyros. These Terms of Service ("Terms") are a legal agreement between you and Innovative Agynt LLC ("Kyros," "we," "us," or "our"). They govern your access to and use of the Kyros platform, including our website, software, services, and all related content (collectively, the "Platform").

By using the Platform, you agree to these Terms. If you do not agree, you must not access or use the Platform. You must be at least 18 years old to use the Platform.

We may update these Terms at any time. Changes are effective as soon as they are posted. Your continued use of the Platform means you accept the new Terms.

1. Your Account

You are responsible for keeping your account login credentials secure and for all activities under your account.

You must provide accurate and current information when you register.

2. Our Services

Kyros provides a platform with various tools and integrations for health insurance agents (the "Services").

We reserve the right to modify, improve, or discontinue any part of the Services at any time.

The Services are provided "as-is" and "as-available" without any promises of uninterrupted or error-free operation.

3. Fees and Payment

You agree to pay all subscription fees and any applicable one-time charges for the Services you select.

Fees are billed in advance and are generally non-refundable, even if you stop using the Service during your billing period.

You are responsible for all taxes and third-party communication surcharges (e.g., carrier fees for SMS).

If your payment fails, we may suspend or terminate your access to the Services.

4. Your Responsibilities

You agree to use the Platform lawfully and are solely responsible for:

Your Actions: Your conduct and the conduct of your employees and clients on the Platform.

Compliance with Laws: Ensuring your use of the Platform, especially communication features (SMS, email), complies with all applicable laws like the TCPA and CAN-SPAM Act. You are the sender of any communications, not Kyros.

Your Data: The data, information, and content you upload ("Your Data"). You must have the legal right to use it and grant us a license to host and process it to provide the Services to you.

Client Relationships: Your relationships and transactions with your own clients. Kyros is not a party to those agreements.

5. Intellectual Property

The Platform and all its content, features, and functionality (including our name, logo, and software) are owned by Kyros or our licensors and are protected by copyright, trademark, and other laws. We grant you a limited, non-exclusive license to use the Platform for your business, but you may not copy, modify, or resell our intellectual property.

6. AI-Powered Features

Kyros offers AI-powered features to help automate tasks.

No Guarantees: We do not guarantee the accuracy, correctness, or compliance of outputs from AI features.

Your Responsibility: You are solely responsible for reviewing, approving, and monitoring all AI-generated content and actions before they are sent to third parties. It is your duty to ensure compliance with industry regulations.

7. Disclaimer of Warranties

THE PLATFORM AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT GUARANTEE THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, KYROS AND ITS TEAM WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE PLATFORM. OUR TOTAL LIABILITY FOR ANY CLAIMS RELATED TO THESE TERMS OR THE SERVICES IS LIMITED TO THE AMOUNT YOU PAID US IN THE THREE (3) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.

9. Indemnification

You agree to defend, indemnify, and hold harmless Kyros and its team from any claims, damages, or expenses (including legal fees) arising from:

Your use of the Platform or Services.

Your violation of these Terms or any law.

Your data or content.

Your interactions with your clients.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wyoming.

Any disputes will be resolved through binding individual arbitration in Casper, Wyoming, rather than in court. You waive your right to a jury trial and to participate in a class action lawsuit or class-wide arbitration.

11. Termination

You can terminate your subscription by providing us with written notice.

We may suspend or terminate your access to the Platform at any time for any reason, including for violation of these Terms.

Even after termination, the sections of these Terms that are meant to survive (like Intellectual Property, Limitation of Liability, and Indemnification) will continue to apply.

12. Privacy

Your privacy is important. Our Privacy Notice (posted on the Platform) explains how we handle your information and is incorporated into these Terms. By using the Platform, you consent to our data practices as described in the Privacy Notice.
